Terms and Conditions

Plain English summary: By subscribing to PASM.AI, you agree to these terms. Monthly plans, no long-term lock-in. Credits never expire on an active subscription. All calls are recorded as a core platform function. You are responsible for ensuring your outbound calling lists comply with local regulations. Accounts go dormant after cancellation and are permanently closed after 180 days with all unused credits forfeited. We protect your data and you own your business information. We reserve the right to withdraw, extend, or change any offer or promotion at any time without prior notice.

1. What the Service Is

PASM.AI is an AI communication automation platform. It is a fully managed service - not software you operate yourself. Our team configures, maintains, and optimises your AI assistant on your behalf. The service is delivered in part through trusted third-party AI and telephony infrastructure providers operating under appropriate data processing agreements.

The service includes three products:

  • AI Chat Widget - an AI-powered chat assistant embedded on your website
  • AI Inbound Call Assistant - an AI receptionist that answers inbound calls to your business
  • AI Outbound Calling System - an AI system that makes outbound calls for lead follow-up, reminders, and re-engagement

"We", "us", "our" refers to Versaloop Pvt Ltd, operating as PASM.AI. "Subscriber" or "you" means the individual or business entity that has subscribed to the service.

2. Acceptance of Terms

By subscribing to any PASM.AI plan, booking a demo, or using the service in any capacity, you confirm that you have read, understood, and agree to be bound by these terms. If you are subscribing on behalf of a business, you confirm that you have authority to bind that business to these terms.

3. Subscription Plans and Billing

Plan Structure

PASM.AI offers monthly subscription plans across three product lines: AI Chat Widget, AI Calling Suite, and Bundle plans combining both. Current pricing is displayed at pasm.ai/pricing. All prices are listed in USD. Prices may also be displayed in CAD and GBP for convenience. Regardless of display currency, all subscriptions are billed in USD. Currency conversion at the time of payment is handled by your payment provider and may vary.

Billing

Subscriptions are billed monthly in advance on the date you first subscribe. Payment is due immediately. Failure to pay will result in service suspension. A grace period of 10 days applies before dormancy procedures are triggered. During the grace period, the service is suspended but your account, credits, AI configuration, and any provisioned phone number are preserved.

Setup Fee

A one-time setup fee applies to all new subscriptions, starting from $499 USD depending on integrations required. This fee is confirmed at the time of booking and is separate from monthly subscription charges. The setup fee is non-refundable once setup has commenced. Please refer to our Refund Policy for the cancellation window before setup begins.

Price Changes

We reserve the right to change subscription prices. Active subscribers will be given at least 30 days written notice before any price change takes effect for their account.

4. Credits and Usage

What a Credit Is

One credit equates to approximately one minute of AI handling time, whether on the AI Chat Widget or on a voice call. Overhead applies and exact durations are approximate. Credits consumed per interaction will vary depending on session length and complexity.

What a Chat Session Is

One chat session means one full visitor interaction on the AI Chat Widget, from the first message through to the end of that session, regardless of how many exchanges occur within it. A session times out after 30 minutes of inactivity. Any new message after a 30-minute gap opens a new session.

What a Voice Minute Is

One voice minute means one minute of AI handling time on an inbound or outbound call. CRM logging, calendar booking, appointment reminders, and human handoff triggers that occur during a call are all included within the credits used for that call. They do not consume any additional allowance.

Credits Never Expire

Credits on active subscriptions never expire. Unused credits roll forward indefinitely month to month for as long as your subscription remains active. This applies to active accounts only. Credits have no cash value and are not transferable between accounts.

Overage

If your account exceeds its included voice minutes allowance, overage is charged at $0.40 USD per additional minute. Overage charges are billed at the end of the billing cycle in which they occur. For chat credit overage, contact us for applicable rates. Overage charges are non-refundable once the usage has occurred.

Connection and Processing Overhead

Credit consumption includes a small overhead for AI processing and connection handling on each interaction. For voice calls, credits consumed per minute may be slightly higher than one credit per minute due to system initialisation and session management. For chat sessions, credit consumption reflects total AI processing time including context handling. Quoted credit allowances and duration estimates are approximate. Actual usage will vary depending on session complexity and interaction type.

Fair Use

PASM.AI reserves the right to apply fair use limits if a single account generates abnormal usage patterns that suggest automated abuse rather than genuine business communication. This will never affect normal business usage.

5. Account Keep-Alive Fee

Where a subscriber wishes to keep their account open and their credits preserved without maintaining a full active subscription, an Account Keep-Alive Fee of $39 USD per month applies. This fee covers account maintenance, data retention, and credit preservation during low-activity or transitional periods.

The Keep-Alive Fee does not include any credits or usage allowance. It exists solely to hold the account open and protect your accumulated credit balance. The Keep-Alive Fee is non-refundable once the billing period has started. If the Keep-Alive Fee lapses, a grace period of 10 days applies before standard dormancy procedures are triggered as outlined in Section 6.

6. Dormancy and Account Closure Policy

This policy applies when a subscription is cancelled or payment lapses. Dormancy periods are measured from the date your last active subscription or Keep-Alive Fee payment ends. During all dormancy periods from Day 1 to Day 180, your credits are frozen - not forfeited. Your AI configuration, knowledge base, and account settings are preserved. Your account is suspended and can be reactivated on payment of the applicable fee.

Phone Number During Dormancy

If your account includes a PASM.AI provisioned phone number, that number will be held for you during dormancy for a Number Preservation Fee of $5 USD per month. This fee is in addition to any applicable reactivation fee. If the Number Preservation Fee is not paid during dormancy, the number may be released and cannot be recovered. Numbers held under call forwarding arrangements are not affected as they remain in your control.

Important: After 180 days of dormancy, your account is permanently and irreversibly closed. All data, conversation history, AI configuration, and unused credits are deleted. There are no exceptions to this policy. If you intend to return to the service, reactivate before the 180-day window closes.

7. Phone Number Arrangements

PASM.AI offers three phone number arrangements. The option selected at onboarding is confirmed in your setup documentation.

Option 1 - Call Forwarding

Your existing business number remains entirely yours. You configure a forward to the PASM.AI system. No number fee applies. You may remove the forward at any time without penalty.

Option 2 - Number Porting

Your existing number is ported into the PASM.AI platform. A one-time porting fee of $99 USD applies at onboarding. Number porting typically takes 5 to 10 business days depending on your current carrier. If you cancel and wish to port your number out, a release fee of $149 USD applies and must be paid before the number is released back to you or your chosen carrier.

Option 3 - PASM.AI Provisioned Number

A fresh number is provisioned by PASM.AI for your account at no additional onboarding cost. This number is leased through our telephony infrastructure and is not owned by you. If you cancel and wish to retain this number, a release fee of $149 USD applies. The release fee must be paid and the transfer request submitted within 30 days of cancellation. After 30 days, the number is decommissioned and cannot be recovered. During dormancy, the number can be held for $5 USD per month as outlined in Section 6.

8. Call Recording

All calls handled by PASM.AI, both inbound and outbound, are recorded. Recording is a core function of the platform and cannot be disabled. Recordings are used for AI performance monitoring, quality assurance, and dispute resolution.

By subscribing to any calling plan, you acknowledge and accept that calls will be recorded. PASM.AI provides a standard call introduction notifying callers that the call is handled by an AI assistant and may be recorded. You must not modify or suppress this notification.

9. Outbound Calling Compliance

The AI Outbound Calling System places calls on behalf of your business using contact data you supply. You are solely responsible for ensuring that your contact lists, calling practices, and use of the outbound calling system comply with all applicable regulations in your jurisdiction and in the jurisdictions of the parties you are calling.

Applicable regulations include but are not limited to:

  • TCPA - Telephone Consumer Protection Act (United States)
  • CASL - Canada's Anti-Spam Legislation (Canada)
  • PECR - Privacy and Electronic Communications Regulations (United Kingdom)
  • Equivalent legislation in any other jurisdiction where calls are placed

PASM.AI provides the technology only. We accept no liability for regulatory breaches caused by your contact lists, calling schedules, or calling practices. Where you request written guidance on compliance best practice, we will support you to the best of our ability. Such guidance does not constitute legal advice and does not transfer compliance responsibility to PASM.AI.

10. Offers and Promotions

PASM.AI may from time to time offer promotional pricing, seasonal discounts, or introductory rates. We reserve the right to withdraw, extend, modify, or change any offer or promotion at any time, without prior notice. Promotional rates are available to new accounts only unless otherwise stated.

Promotional rates locked in at the time of subscription remain valid for as long as that subscription stays active and in good standing. Where a promotion includes an introductory rate for a defined period, the subscription will automatically continue at the standard rate at the end of that period. No action is required from either party for this transition to occur. No refund is issued for the difference between a promotional rate and the standard rate.

11. Cancellation

You may cancel your subscription at any time by writing to billing@pasm.ai. Your service will remain active for the remainder of your current billing period. You will not be charged for the following cycle after your cancellation takes effect. Setup fees are non-refundable. Monthly fees are non-refundable for the current billing period once the service is live. Please refer to our Refund Policy for full details.

12. Service Delivery

We aim to have your AI assistant live within 3 business days of setup commencing for standard integrations. Complex integrations involving CRM connections, custom call scripts, number porting, or multi-location setups may require additional time. We will communicate estimated timelines during onboarding and keep you updated throughout the process.

We provide ongoing management of your AI assistant, including knowledge base maintenance and performance reviews as specified in your plan. You are responsible for supplying accurate and up-to-date business information for AI training. PASM.AI is not liable for AI performance issues caused by incomplete, inaccurate, or outdated information supplied by the client.

We do not guarantee any specific lead volume, booking rate, or business outcome from use of the service. Results will vary depending on your business type, traffic volume, and market conditions. AI assistants may occasionally mishandle complex or unusual queries. Human handoff capability is available on supported plans but is not guaranteed to function in all scenarios or at all times.

13. Service Availability

PASM.AI targets approximately 99% uptime but does not guarantee uninterrupted service. Planned maintenance will be communicated to active subscribers at least 24 hours in advance where possible. We are not liable for service interruptions caused by third-party providers, infrastructure failures outside our control, or force majeure events including but not limited to natural disasters, acts of government, power failures, or internet infrastructure outages.

14. Acceptable Use

You agree to use the service only for lawful business purposes. You must not use PASM.AI to:

  • Conduct or facilitate any illegal activity
  • Harass, threaten, or deceive end users
  • Process sensitive personal data beyond what is required for normal business operations without appropriate consent
  • Place calls to numbers on applicable do-not-call registries
  • Resell the service without our prior written permission
  • Attempt to reverse engineer, copy, or replicate any part of the platform or its underlying systems

15. Data and Privacy

Client data is used solely to operate and improve the service for that client. It is not sold or shared with unrelated third parties. Your business data, conversation content, and knowledge base materials remain your property.

The service is delivered in part through trusted third-party AI and telephony infrastructure providers. Data may be processed and stored on servers operated by these providers. We take reasonable steps to ensure that our providers operate under appropriate data protection standards. PASM.AI does not intentionally permit client conversation data to be used for third-party AI training unless required for service delivery. We will notify you of any material changes to this position.

PASM.AI is GDPR Aligned. We acknowledge the data rights of individuals in GDPR jurisdictions including the right to access, rectification, and erasure. Requests for data deletion should be submitted to legal@pasm.ai. Please refer to our Privacy Policy for full details.

16. Intellectual Property

All platform software, design, systems, AI models, prompt architecture, and configuration methodology underlying PASM.AI remain the intellectual property of Versaloop Pvt Ltd. Your business information, website content, scripts, and knowledge base source materials remain yours entirely.

On cancellation, you may request an export of your raw knowledge base content. The AI prompt structure, configuration logic, and system architecture built around that content are proprietary to Versaloop Pvt Ltd and are not included in any export.

17. Limitation of Liability

To the maximum extent permitted by applicable law, PASM.AI and Versaloop Pvt Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service, including loss of revenue, loss of leads, or missed business opportunities. Our total liability to you for any claim shall not exceed the total subscription fees paid by you in the three months preceding the claim.

18. Governing Law

These terms are governed by the laws of India. Disputes will be resolved through good-faith negotiation in the first instance, and thereafter through the courts of competent jurisdiction in India.

19. Changes to These Terms

We may update these terms from time to time. Active subscribers will be notified of material changes by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
