Plain English summary: By subscribing to PASM.ai, you agree to these terms. Monthly plans, no long-term lock-in. Credits never expire on an active subscription. Accounts go dormant after inactivity and are permanently closed after 180 days with credits forfeited. We protect your data and you own your business information.
1. Definitions
"Service" means the PASM.ai AI communication platform, including the AI Chat Widget, AI Inbound Call Assistant, and AI Outbound Calling System, as well as any associated setup, management, and support services.
"Subscriber" or "you" means the individual or business entity that has subscribed to the Service.
"Credits" or "minutes" means the usage allocation included in your monthly plan, measured in minutes of AI conversation or call time.
"We", "us", "our" refers to Versaloop Pvt Ltd, operating as PASM.ai.
2. Acceptance of Terms
By subscribing to any PASM.ai plan, booking a demo, or using the Service in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are subscribing on behalf of a business, you confirm that you have authority to bind that business to these terms.
3. Subscription Plans and Billing
Plan structure
PASM.ai offers monthly subscription plans across three product lines: AI Chat Widget, AI Calling Suite, and Bundle plans combining both. Current pricing is displayed at pasm.ai/pricing. All prices are in USD unless otherwise stated at checkout.
Billing
Subscriptions are billed monthly in advance on the date you first subscribe. Payment is due immediately. Failure to pay will result in service suspension after 7 days and account dormancy procedures may apply.
Setup fee
A one-time setup fee applies to all new subscriptions, starting from $499 depending on integrations required. This fee is confirmed at the time of booking and is separate from monthly subscription charges.
Price changes
We reserve the right to change subscription prices. Active subscribers will be given at least 30 days written notice before any price change takes effect for their account.
4. Credits and Usage
Each plan includes a monthly credit allocation measured in minutes. Credits cover AI chat interactions and call minutes as defined in your plan. Overage rates apply once your monthly allocation is exceeded and are charged at the rates published on our pricing page.
Credits on active subscriptions never expire. Unused credits roll forward indefinitely month to month for as long as your subscription remains active. Credits are not transferable and have no cash value.
5. Dormancy and Account Closure Policy
This policy applies when a subscription is cancelled or payment lapses. We define dormancy periods from the date your last active subscription ends.

Important: After 180 days of dormancy, your account is permanently and irreversibly closed. All data, conversation history, AI training, and unused credits are deleted. There are no exceptions to this policy. If you intend to return to the service, reactivate before the 180-day window closes.
6. Cancellation
You may cancel your subscription at any time with 30 days written notice to [email protected]. Your service will remain active for the remainder of your current billing period. You will not be charged for the following cycle after your cancellation takes effect. Setup fees are non-refundable. Monthly fees are non-refundable for the current billing period once the service is live. Please refer to our Refund Policy for full details.
7. Service Delivery
We aim to have your AI assistant live within 3 to 5 business days of setup commencing. Complex integrations may require additional time. We will keep you updated throughout the process. We provide ongoing management of your AI assistant, including prompt updates, knowledge base maintenance, and performance reviews, as specified in your plan.
We do not guarantee any specific lead volume, booking rate, or business outcome from use of the Service. Results will vary depending on your business type, traffic, and market.
8. Acceptable Use
You agree to use the Service only for lawful business purposes. You must not use PASM.ai to conduct or facilitate any illegal activity, to harass, threaten, or deceive end users, to process sensitive personal data beyond what is required for normal business operations without appropriate consent, or to resell the Service without our written permission.
9. Intellectual Property
All platform software, design, systems, and AI models underlying PASM.ai remain the intellectual property of Versaloop Pvt Ltd. Your business data, conversation content, and knowledge base materials remain your property. We do not claim ownership of your business information.
10. Limitation of Liability
To the maximum extent permitted by applicable law, PASM.ai and Versaloop Pvt Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the total subscription fees paid by you in the three months preceding the claim.
11. Governing Law
These terms are governed by the laws of Canada. For subscribers in the United Kingdom, applicable UK consumer protection and data protection law applies in addition to these terms. Disputes will be resolved through good-faith negotiation in the first instance, and thereafter through the courts of the applicable jurisdiction.
12. Changes to These Terms
We may update these terms from time to time. Active subscribers will be notified of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.
